Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Macrodesk.ai platform and related services (the “Service”) operated by Macrodesk, Inc. (“Macrodesk,” “we,” “us,” or “our”).

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Macrodesk is an AI-powered research platform. The Service provides access to an autonomous AI agent that can fetch data, execute code, generate visualizations, and produce research outputs on your behalf.

The Service is currently in preview. Features, pricing, data availability, usage limits, and other aspects of the Service are subject to change at our discretion.

2. Preview Program

By using the Service during the preview period, you acknowledge and accept that:

  • The Service is experimental and under active development
  • Features, data, and workspaces may be unavailable, reset, or deleted at any time without notice
  • Credits consumed during use are non-recoverable regardless of outcome or Service interruptions
  • AI-generated outputs may be incomplete, incorrect, or fail entirely
  • We may make changes to any aspect of the Service — including changes that affect your existing data or workflows — without prior notice

The preview period continues until we publicly announce otherwise. If these conditions are not acceptable to you, please do not use the Service.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is currently available only to users located in the United States. By using the Service, you represent that you meet these requirements and that you are located in the United States.

4. Accounts

You are responsible for maintaining the security of your account credentials and for all activity under your account. You agree to notify us promptly of any unauthorized access. We reserve the right to suspend or terminate accounts at our discretion.

5. Subscriptions and Payments

Billing

Access to the Service requires a paid subscription. Subscription fees are billed in advance on a recurring basis through our payment processor. You authorize us to charge your payment method for all fees incurred.

Credits

The Service uses a credit-based usage model. Credit allocations, pricing, expiration rules, and usage rates are described on our pricing page and may change at any time. We may notify you of material changes but are not required to do so.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Refunds are not provided for partial billing periods.

7-Day Refund

We offer a full refund of your first subscription payment if requested within 7 days of that payment for genuine trial use. Refund requests are evaluated at our discretion and may be declined if usage indicates other than genuine trial evaluation. To request a refund, contact us through the support channel.

Add-On Purchases

Certain add-on purchases (such as credit refills) are non-refundable and subject to their own terms as described at the time of purchase.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Infringe the intellectual property or other rights of any third party
  • Transmit malicious code or attempt to interfere with the Service
  • Attempt to access other users' data or workspaces
  • Redistribute, resell, or sublicense third-party data obtained through the Service
  • Use the Service to build a competing product or service
  • Reverse engineer, decompile, or attempt to extract the proprietary methods, prompts, or architecture of the Service
  • Circumvent any usage limits, access controls, or security measures

We reserve the right to monitor usage for compliance and to suspend, terminate, or restrict accounts or specific features — in whole or in part — that we determine, at our sole discretion, to be inconsistent with the intended use of the Service, with or without notice. This includes the right to impose limits on specific usage patterns, features, data access, or compute resources at any time.

7. Financial Disclaimer

The Service is not a financial advisor, broker-dealer, or investment adviser. Nothing provided through the Service constitutes investment advice, financial advice, trading advice, or any other sort of professional advice.

The Service provides research tools and access to third-party data. Any research outputs, analyses, visualizations, or other content generated by the Service are for informational purposes only. AI-generated content may contain errors, inaccuracies, or outdated information. You should independently verify any information.

You are solely responsible for evaluating the accuracy, completeness, and usefulness of any information obtained through the Service. We do not guarantee the accuracy, reliability, or timeliness of any data or AI-generated content.

8. Third-Party Data

The Service provides access to data from third-party financial data providers. This data is subject to the terms and restrictions of those providers. You may not:

  • Redistribute, resell, or sublicense any third-party data obtained through the Service
  • Use third-party data for any purpose other than your own personal or internal business research
  • Scrape, bulk-download, or systematically extract third-party data from the Service

We do not guarantee the availability, accuracy, or completeness of any third-party data. We may require you to agree to additional terms from specific data providers as a condition of continued access, and we may share usage data with our data providers as required by our agreements with them.

9. Your Content

Ownership

You retain ownership of the content you submit to the Service (messages, uploaded files, etc.). You grant us a limited license to process your content as necessary to provide the Service.

Research Outputs

Subject to any applicable third-party data restrictions, research outputs generated by the AI agent using your inputs are yours to use. We do not claim ownership of AI-generated outputs produced in response to your queries.

Code, Scripts, and Deliverables

The Service may generate or assist in producing programs, scripts, code snippets, reports, presentations, and other deliverables. All such outputs are provided for informational and educational purposes only. Any use, execution, deployment, or reliance on code, scripts, or other deliverables produced by the Service is entirely at your own risk.

We make no representations or warranties regarding the correctness, security, fitness for a particular purpose, or suitability of any generated code or deliverables. You are solely responsible for reviewing, testing, and validating any outputs before using them in any environment, including but not limited to production systems, financial models, trading systems, or any context where errors could result in financial or other harm.

Shared Content

Certain features of the Service may allow you to share or make content accessible to others. You are solely responsible for any content you choose to share. We do not review or endorse shared content, and it does not represent the views of Macrodesk. We may remove or restrict access to any shared content at our discretion.

Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.

10. Bring Your Own Key (BYOK)

Certain plans may allow you to connect your own API keys for third-party data providers. If you use your own keys:

  • You are responsible for compliance with that provider's terms of service
  • We are not responsible for any charges incurred on your third-party accounts
  • We do not store your API keys beyond what is necessary to route requests on your behalf

11. Workspace Data

Each conversation in the Service may include a persistent workspace with associated files and data. Workspace availability and retention are subject to your subscription plan and may change. We reserve the right to delete workspace data for inactive or cancelled accounts at our discretion.

12. Account Suspension

By using the Service, you consent to automated and manual review of your usage for compliance with these Terms. We may suspend or restrict your account if we reasonably believe you have violated these Terms or if required to protect the Service or other users. In the event of suspension:

  • Your access to the Service may be restricted
  • Shared content may be made unavailable
  • Active workspaces may be suspended

13. Intellectual Property

The Service, including its software, design, and documentation, is owned by Macrodesk and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

14. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any data or content will be accurate or complete.

15. Limitation of Liability

To the maximum extent permitted by law, Macrodesk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Without limiting the foregoing, we shall not be liable for any financial losses, investment losses, or trading losses arising from your use of or reliance on the Service or any content generated by the Service.

16. Indemnification

You agree to indemnify and hold harmless Macrodesk and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

17. Changes to These Terms

We may modify these Terms at any time. Material changes will be reflected by an updated “Last Updated” date on this page. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

18. Dispute Resolution

You and Macrodesk agree to resolve any disputes arising out of or relating to these Terms or the Service through binding individual arbitration, except that either party may bring claims in small claims court. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

Arbitration will be conducted under the rules of the American Arbitration Association. The arbitration will take place in the State of Delaware or, at your election, by telephone or video conference.

This arbitration agreement survives termination of these Terms.

19. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

20. Service Modifications

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

21. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Macrodesk regarding the Service.
